This Terms of Service Agreement ("Agreement") is entered into by and between [TaskDavid] ("Company") and you, the user of the Company's online time sheet application ("User").

By accessing or using the Company's online time sheet application, User agrees to be bound by the terms and conditions of this Agreement. If User does not agree to the terms and conditions of this Agreement, User should not access or use the Company's online time sheet application.

1. Use of the Online Time Sheet Application

The Company's online time sheet application is provided solely for the purpose of tracking and managing time worked by User and other authorized users. User agrees to use the online time sheet application only for lawful purposes and in accordance with this Agreement.

2. User Accounts

To access the Company's online time sheet application, User must create an account by providing accurate and complete information. User is responsible for maintaining the confidentiality of User's account and password, and for restricting access to User's computer or mobile device. User agrees to accept responsibility for all activities that occur under User's account or password.

3. Intellectual Property Rights

The Company's online time sheet application and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4. Disclaimer of Warranties

The Company's online time sheet application is provided "as is" and "as available" without any representations or warranties of any kind, express or implied. The Company does not warrant that the online time sheet application will be uninterrupted or error-free, that defects will be corrected, or that the online time sheet application or the server that makes it available are free of viruses or other harmful components.

5. Limitation of Liability

In no event shall the Company, its affiliates, licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with User's use, or inability to use, the Company's online time sheet application, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

6. Indemnification

User agrees to indemnify, defend, and hold harmless the Company, its affiliates, licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to User's violation of this Agreement or User's use of the Company's online time sheet application.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to this Agreement or the Company's online time sheet application shall be instituted exclusively in the federal courts of the United States or the courts of the State of [State].

8. Entire Agreement

This Agreement constitutes the entire agreement between User and the Company with respect to the Company's online time sheet application and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between User and the Company.

9. Modifications to Agreement

The Company reserves the right to modify this Agreement at any time and without prior notice. User's continued use of the Company's online time sheet application after any modification to this Agreement constitutes User's acceptance of the modified terms.
